PEIdoctor.com Host Partner Logo & Branding License – Formal Agreement (For Registered Host Partners Only)

Licensor: EndWell Management Inc.

(“EndWell,” “we,” “us,” or “our”), owner and operator of PEIdoctor.com.

 

Licensee: [Host/Property Legal Name or DBA] (“you” or “Host Partner”), a registered participant in the PEIdoctor.com Host Partner Program.

 

1. Grant of Limited LicenseSubject to your acceptance of the PEIdoctor.com Host Partner Agreement (including any tier-specific terms), timely payment of applicable fees (if any), and our written approval, EndWell grants you a non-exclusive, non-transferable, revocable, royalty-free, limited license to use the PEIdoctor.com brand logos, marks, and approved branding materials (“Licensed Marks”) provided to you during the term of your active Host Partner status. This license is strictly for the 2026/27 tourism season (May 1, 2026 – Jan 31, 2027, or as extended by us) and only for the following permitted purposes:

• Displaying the Licensed Marks on your website, booking pages (e.g., Airbnb, Vrbo, direct site), welcome packets, check-in materials, signage, social media profiles, or promotional content.

• Indicating that your guests can access PEIdoctor.com’s non-emergency concierge medical services as an amenity.No other use is allowed without our prior written consent.

 

2. Registration, Approval, and Usage Restrictions• You must complete registration on peidoctor.com/partners (or our designated portal) and specify exactly where and how you will use the Licensed Marks (e.g., URLs, specific pages, printed materials).

• We must approve your proposed uses in writing (via email or portal) before you begin. We reserve the right to approve, deny, modify, or revoke permission at any time, in our sole discretion.

• Use the Licensed Marks exactly as provided: no modifications, alterations, recoloring, distortion, animation, or combination with other elements unless we approve in writing.

• Do not imply greater affiliation, endorsement, sponsorship, or medical authority beyond your approved Host Partner status.• Include attribution where practical, e.g., “PEIdoctor.com logo used under license from EndWell Management Inc.”

• Immediately stop all use upon our notice, termination of your Host Partner status, or end of the season.

 

3. Ownership and Control

• EndWell retains full ownership of the Licensed Marks, all intellectual property rights (including copyrights, trademarks, and goodwill), and any rights arising from your use.

• This license does not grant you any ownership, title, or interest in the Licensed Marks.• We may update, replace, or withdraw the Licensed Marks at any time with notice.

• You agree not to challenge our rights or register similar marks.

 

4. TerminationThis license ends automatically when:

• Your Host Partner status terminates (e.g., non-renewal, breach, or revocation).

• The 2026 season concludes.• We revoke approval for any reason. Upon termination, you must immediately remove or destroy all uses of the Licensed Marks and confirm compliance if requested.

 

5. No Warranty; Governing Law: The Licensed Marks are provided “as is.” EndWell disclaims all warranties. This agreement is governed by the laws of Prince Edward Island, Canada.By registering as a Host Partner, receiving the Licensed Marks, and using them after approval, you agree to these terms. EndWell may update this license; continued use after notice constitutes acceptance.
